1. INTRODUCTION AND SCOPE

Welcome to Medicine Platform. This Copyright and Intellectual Property Policy ("Policy") is designed to provide a clear and comprehensive framework for the ownership, use, and protection of intellectual property on the website https://medicineplatform.com and all its related services, tools, and applications (collectively, the "Platform"). The Platform is owned and operated by Minyatech Co., Ltd., a company incorporated in Hong Kong with its registered office at Room 1702, Nam Wo Hong Building, 148 Wing Lok Street, Sheung Wan, Hong Kong ("we," "us," "our," or the "Company").

This Policy is a legally binding agreement and forms an integral part of our Terms of Service. By accessing, registering for, or using the Platform, you ("you," "your," or "User") acknowledge that you have read, understood, and agree to be bound by the terms and conditions set forth in this Policy.

The Platform functions as an interactive, global, business-to-business (B2B) marketplace. This creates a dynamic environment where two primary categories of intellectual property coexist:

  1. Company Intellectual Property: The intellectual property owned by or licensed to Minyatech Co., Ltd., which constitutes the Platform itself.
  2. User-Generated Content (UGC): The intellectual property owned by our Users, which they upload, post, and share on the Platform.

This Policy details the rights and obligations of all parties concerning both categories of intellectual property. It also establishes a formal procedure for addressing claims of intellectual property infringement. Our commitment is to foster a trusted and legally compliant marketplace that respects the intellectual property rights of our company, our users, and third parties.

2. DEFINITIONS

For the purposes of this Policy, the following terms shall have the meanings ascribed to them below:

  • "Company Intellectual Property" or "Platform IP" refers to any and all intellectual property rights, whether registered or unregistered, owned by or licensed to Minyatech Co., Ltd. This includes, but is not limited to, the Marks, Copyrightable Works, Database Rights, and Trade Secrets associated with the Platform.
  • "Copyrightable Works" includes all content created by the Company and made available on the Platform, such as the unique "look and feel," graphic designs, editorial content, text, photographs, videos, music, sound recordings, and the underlying software source code and object code, architecture, structure, sequence, and organization.
  • "Counter-Notification" refers to a formal declaration, made under penalty of perjury, by a User whose content has been removed or disabled as a result of an Infringement Notification, asserting that the removal was a result of mistake or misidentification.
  • "Database Rights" refers to the rights associated with the collection, organization, presentation, and verification of the data compiled within the Platform's databases, which constitutes a copyrightable compilation and a work of substantial investment.
  • "Infringement Notification" refers to a formal, written communication from a rights holder or their authorized agent, submitted in accordance with the procedures outlined in Section 7 of this Policy, which alleges that content on the Platform infringes their copyright or other intellectual property rights.
  • "Intellectual Property Rights" means any and all rights existing from time to time under patent law, copyright law, trade secret law, trademark law, unfair competition law, and any and all other proprietary rights, and any and all applications, renewals, extensions, and restorations thereof, now or hereafter in force and effect worldwide.
  • "Marks" refers to the trademarks, service marks, trade names, and logos owned by the Company, most notably "Medicine Platform" and its associated logo.
  • "Trade Secrets" includes confidential business information, proprietary processes, algorithms, and formulas used in the operation and functionality of the Platform.
  • "User-Generated Content" (UGC) means any and all content that a User uploads, submits, posts, displays, communicates, or otherwise makes available on or through the Platform. This includes, without limitation, company profile information, product names, descriptions, specifications, laboratory data, certifications, photographs, images, videos, marketing materials, and messages exchanged with other Users.

3. OWNERSHIP OF PLATFORM INTELLECTUAL PROPERTY

You acknowledge and agree that Minyatech Co., Ltd. is the sole and exclusive owner of all rights, title, and interest in and to the Platform and all Company Intellectual Property. The Platform is provided to you as a service, and your use of it is governed by a limited license as detailed in our Terms of Service and this Policy. No ownership rights are transferred to you.

The Company's Intellectual Property includes, but is not limited to, the following:

3.1. Trademarks and Service Marks (the "Marks")

The name "Medicine Platform," our logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Minyatech Co., Ltd. or its affiliates or licensors. You must not use such Marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on this Platform are the trademarks of their respective owners.

3.2. Copyrightable Works

The Platform, in its entirety, is a copyrightable work owned by the Company. This includes:

  • Software: The underlying source code, object code, APIs, libraries, and architecture that power the Platform's functionality.
  • Website Design: The "look and feel" of the Platform, including its layout, color schemes, graphical user interface (GUI), page designs, and overall user experience.
  • Company-Created Content: All original text, articles, guides, graphics, images, videos, and other materials created by the Company and published on the Platform.

3.3. Database Rights

The Platform's database, as a compilation of data, is protected by copyright and database rights. While Users own their individual UGC, the organized collection, structure, and presentation of this content within our database is a proprietary asset of the Company, representing a significant investment of skill, labor, and resources.

3.4. Trade Secrets

The methods, algorithms, and business processes used to operate the Platform, including our advertising and promoted listing systems, are considered valuable trade secrets of the Company.

Any unauthorized use, reproduction, modification, distribution, or creation of derivative works of the Company Intellectual Property is strictly prohibited and constitutes a breach of our Terms of Service and this Policy, and may violate applicable copyright, trademark, and other laws.

4. USER-GENERATED CONTENT (UGC)

A fundamental feature of the Platform is its ability to host content provided by our Users.

4.1. Ownership of UGC

You, the User, retain full ownership and all intellectual property rights to the User-Generated Content you create and submit to the Platform. We do not claim any ownership rights in your UGC. This Policy does not grant us any rights to your UGC except for the limited rights required to operate and provide the Platform services, as detailed in Section 5 below.

4.2. User's Representations and Warranties for UGC

By uploading or submitting any UGC to the Platform, you represent and warrant that:

  1. You are the sole and exclusive owner of the UGC, or you have obtained all necessary rights, licenses, consents, and permissions to use and to grant the Company the rights in such UGC as contemplated under this Policy and our Terms of Service.
  2. The UGC does not and will not infringe, misappropriate, or violate any third party's intellectual property rights (including copyright, trademark, patent, trade secret), or rights of publicity or privacy.
  3. The UGC does not and will not contain any content that is unlawful, fraudulent, defamatory, obscene, pornographic, harassing, threatening, or otherwise objectionable.
  4. All information contained within the UGC, including product specifications and company details, is accurate, not misleading, and compliant with all applicable laws and regulations in the pharmaceutical industry.

You agree that you are solely responsible and liable for all UGC that you make available through the Platform. You agree to indemnify and hold Minyatech Co., Ltd. harmless from any and all claims, damages, liabilities, costs, and fees (including reasonable attorney's fees) arising from a breach of these representations and warranties.

5. LICENSE GRANTED BY USER TO MINYATECH CO., LTD.

In order for the Company to operate the Platform and provide its services, you must grant us certain limited rights to your UGC. By submitting, posting, or displaying UGC on or through the Platform, you grant Minyatech Co., Ltd. a:

Worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, host, store, cache, reproduce, publish, display (publicly or otherwise), perform (publicly or otherwise), distribute, transmit, modify, and adapt such UGC.

This license is for the limited and specific purpose of:

  • Operating, providing, and improving the Platform and our services.
  • Promoting your products and company profile within the Platform to other Users.
  • Developing new features and services.
  • Analyzing data for internal business purposes (typically in an aggregated and anonymized form).

Let's clarify the components of this license grant:

  • Worldwide: Because the Platform is accessible globally, we need the right to display your content to Users in any country.
  • Non-exclusive: You are free to license your content to anyone else. You can post your product information on your own website or other platforms.
  • Royalty-free: We do not pay you for the content you post, as the primary service is the provision of a free listing platform.
  • Perpetual and Irrevocable: This license continues even if you stop using the Platform. This is necessary because once your product information has been viewed or engaged with by other Users (e.g., through messages or inquiries), we may need to retain records of those interactions for the integrity of the Platform and for the business records of other Users. Content publicly displayed may also be cached by search engines or other services beyond our control.
  • Sublicensable and Transferable: We need these rights to engage third-party service providers (sub-processors) who help us operate the Platform, such as cloud hosting providers (e.g., Amazon Web Services, Google Cloud) who store your data on our behalf. It also allows for the transfer of these rights in the event of a merger or acquisition of the Company.
  • Use, host, store, reproduce, display, etc.: These are the basic technical permissions we need to make your content visible on our servers and on the screens of other Users.
  • Modify and adapt: We may need to make minor technical modifications to your content to make it work on our Platform, such as resizing an image for a thumbnail or transcoding a video for web streaming.

This license does not grant us the right to sell your UGC to third parties or use it for purposes outside the scope of operating and promoting the Medicine Platform.

6. LIMITED LICENSE GRANTED TO USERS

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform and the Company Intellectual Property strictly for its intended purpose as a B2B marketplace and in accordance with our Terms of Service and this Policy.

This license expressly prohibits:

  • Any resale or commercial use of the Platform or the Company IP, other than the B2B transactions intended by the Platform's design.
  • The collection, aggregation, copying, scraping, duplication, or display of any content from the Platform (whether Company IP or UGC from other Users) using any automated means (e.g., robots, spiders, scrapers) or manual process for any purpose not expressly permitted.
  • The creation of derivative works from the Platform or the Company IP.
  • The use of framing techniques to enclose any of our Marks, content, or other proprietary information.
  • The reverse-engineering, decompiling, disassembling, or otherwise attempting to discover the source code of the Platform.
  • Using the Platform for any purpose that is illegal or infringes on the intellectual property rights of the Company or any third party.

Any use of the Platform not expressly permitted by this Policy and our Terms of Service is a breach of contract and may violate copyright, trademark, and other laws.

7. COPYRIGHT INFRINGEMENT TAKEDOWN POLICY (PROCEDURE MODELED ON DMCA)

Minyatech Co., Ltd. respects the intellectual property rights of others and expects its Users to do the same. It is our policy to respond to clear and complete notices of alleged copyright infringement in a timely manner. We have adopted the following policy toward copyright infringement in accordance with the principles of the U.S. Digital Millennium Copyright Act (DMCA), as it provides a robust international standard for handling such claims on online platforms.

7.1. Procedure for Reporting Copyright Infringement (Infringement Notification)

If you are a copyright owner or an agent thereof and believe that any UGC or other content on the Platform infringes upon your copyrights, you may submit a written Infringement Notification to our designated Copyright Agent containing the following information:

  1. A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
  2. Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site.
  3. Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material. Providing specific URLs is the most effective way to help us locate content quickly.
  4. Information reasonably sufficient to permit us to contact you, such as an address, telephone number, and, if available, an electronic mail address at which you may be contacted.
  5. A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
  6. A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

7.2. Where to Send Infringement Notices

Please be aware that if you knowingly materially misrepresent that material or activity is infringing, you may be liable for damages (including costs and attorneys' fees).

7.3. Our Response to a Valid Notification

Upon receipt of a complete and valid Infringement Notification, we will take the following steps:

  1. Expeditiously remove or disable access to the allegedly infringing material.
  2. Promptly notify the User who posted the material that we have removed or disabled access to it.
  3. For repeat infringers, we will take further action, which may include termination of the User's account.

7.4. Procedure for Submitting a Counter-Notification

If you are a User who believes that your material was removed or disabled as a result of mistake or misidentification, you may send a written Counter-Notification to our Copyright Agent containing the following information:

  1. Your physical or electronic signature.
  2. Identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or access to it was disabled.
  3. A statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled.
  4. Your name, address, and telephone number, and a statement that you consent to the jurisdiction of the courts of Hong Kong, and that you will accept service of process from the person who provided the original Infringement Notification or an agent of such person.

7.5. Our Response to a Counter-Notification

Upon receipt of a valid Counter-Notification, we will:

  1. Promptly provide the original complaining party with a copy of the Counter-Notification.
  2. Inform the complaining party that we will replace the removed material or cease disabling access to it in ten (10) to fourteen (14) business days.
  3. Replace the removed material and cease disabling access to it not less than 10, nor more than 14, business days following receipt of the Counter-Notification, unless our Copyright Agent first receives notice from the complaining party that such party has filed an action seeking a court order to restrain the User from engaging in infringing activity relating to the material on our Platform.

7.6. Policy on Repeat Infringers

In accordance with the DMCA and other applicable laws, we have adopted a policy of terminating, in appropriate circumstances and at our sole discretion, the accounts of Users who are deemed to be repeat infringers of copyright.

8. TRADEMARK POLICY

The Company's Marks are valuable assets. You may not use our Marks in any way that is likely to cause confusion, to cause mistake, or to deceive as to the origin of the goods or services, or in any way that disparages or discredits Minyatech Co., Ltd.

If you believe that a User is infringing your registered trademark on the Platform, please contact us at service@medicineplatform.com with the following information:

  • The specific trademark you claim is being infringed.
  • Evidence of your trademark registration (e.g., registration number and jurisdiction).
  • The URL(s) on our Platform where the infringing use is occurring.
  • Your contact information.

We will review your claim and take whatever action we deem appropriate in our sole discretion.

9. DISCLAIMER

The Platform is a neutral venue. We do not review or vet all User-Generated Content before it is posted. Therefore, Minyatech Co., Ltd. cannot and does not guarantee the ownership, legality, or non-infringing nature of the UGC on the Platform. All Users are responsible for the content they post and for ensuring they have the right to post it. We expressly disclaim any and all liability in connection with UGC. The procedures outlined in Section 7 are provided as a service to help rights holders protect their IP, but our implementation of these procedures does not constitute an admission of liability or participation in any infringement.

10. GENERAL PROVISIONS

  • Modifications: We reserve the right to modify this Policy at any time. We will notify you of any changes by updating the "Last Updated" date at the top of this Policy.
  • Governing Law: This Policy and any dispute arising out of it will be governed by the laws of the Hong Kong Special Administrative Region.
  • Entire Agreement: This Policy, along with our Terms of Service and Data Protection Policy, constitutes the entire agreement between you and the Company regarding intellectual property on the Platform.
