WELCOME TO MEDICINE PLATFORM

These Terms of Service (the "Terms" or "Agreement") constitute a legally binding agreement between you, whether personally or on behalf of a business entity ("you," "your," or "User"), and Minyatech Co., Ltd., a company incorporated in Hong Kong, with its registered office at Room 1702, Nam Wo Hong Building, 148 Wing Lok Street, Sheung Wan, Hong Kong ("we," "us," "our," or the "Company").

These Terms govern your access to and use of the website https://medicineplatform.com, including any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the "Platform"). The Platform is an online business-to-business (B2B) marketplace designed to connect pharmaceutical businesses globally, allowing them to list products and interact for commercial purposes.

BY ACCESSING, REGISTERING FOR, OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY ALL OF THESE TERMS OF SERVICE. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE PLATFORM AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the Platform from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the "Last Updated" date of these Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms by your continued use of the Platform after the date such revised Terms are posted.

1. DEFINITIONS

In this Agreement, the following terms shall have the meanings ascribed to them below:

"Account" means the registered account a User creates on the Platform to access certain features and Services.
"Content" means any and all information and material, including but not limited to text, data, images, photographs, videos, audio, software, and other materials in any form or medium.
"Paid Services" refers to the premium features offered by the Platform for a fee, such as advertising space and promoted or "bidded" product listings.
"Platform" refers to the website https://medicineplatform.com, its subdomains, associated services, tools, and applications operated by Minyatech Co., Ltd.
"Product" refers to any pharmaceutical product, medical device, active pharmaceutical ingredient (API), or related goods listed by a Seller on the Platform.
"Seller" means a User who lists, offers, or promotes Products for sale on the Platform.
"Services" means all services provided by the Company through the Platform, including but not limited to the provision of the marketplace, communication tools, and Paid Services.
"User" means any individual, company, or legal entity that accesses or uses the Platform, including Sellers, prospective buyers, and general visitors.
"User-Generated Content" (UGC) means any Content that a User uploads, posts, submits, displays, or otherwise makes available on or through the Platform, including product listings, company profiles, messages, and reviews.

2. DESCRIPTION OF SERVICES

The Platform provides an online B2B venue for pharmaceutical companies, manufacturers, distributors, and other qualified business entities to connect. Our Services include:

Free Product Listings: We provide Sellers with the ability to create a company profile and publish listings for their Products, free of charge.
Communication Tools: We may provide tools, such as an internal messaging system or inquiry forms, to facilitate communication between Users.
Information Hub: The Platform serves as a directory and information resource for businesses in the pharmaceutical industry.
Paid Services: We offer optional Paid Services, including premium advertising placements and a competitive bidding system for enhanced visibility of product listings ("Promoted Listings" or "竞价排名"). The terms for these Paid Services are detailed in Section 9.

You acknowledge that the Platform is a service provider and a neutral facilitator. We are not a pharmaceutical manufacturer, distributor, broker, agent, or reseller. We do not own, sell, or handle any of the Products listed on the Platform. All transactions are conducted directly between the buying and selling Users.

3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 Eligibility

To be eligible to create an Account and use the full scope of our Services, you must:

Be a legally registered business entity (e.g., corporation, partnership, sole proprietorship) in good standing in your jurisdiction of operation.
If you are an individual registering on behalf of a business entity, you must be at least 18 years of age (or the age of legal majority in your jurisdiction) and possess the full legal authority to bind that entity to this Agreement.
Not be located in, or a national or resident of, any country subject to sanctions or embargoes by Hong Kong, the United Nations, or other relevant international bodies.
Comply with all applicable laws and regulations concerning the trade, import, export, and distribution of pharmaceutical products in your jurisdiction and the jurisdictions of the Users you interact with.

3.2 Account Creation

To access most features, you must register for an Account. When you register, you agree to:

Provide accurate, current, and complete information as prompted by our registration forms.
Maintain and promptly update your Account information to keep it accurate, current, and complete.
Maintain the security and confidentiality of your password and Account credentials. You are solely responsible for all activities that occur under your Account.
Notify us immediately at service@medicineplatform.com of any unauthorized use of your password or Account or any other breach of security.

We reserve the right to suspend or terminate your Account and refuse any and all current or future use of the Platform if we have reasonable grounds to suspect that any information you provide is untrue, inaccurate, not current, or incomplete, or if you violate these Terms.

4. USER REPRESENTATIONS AND WARRANTIES

By using the Platform, you represent and warrant that:

All registration information you submit is truthful and accurate.
You will maintain the accuracy of such information.
You have the legal capacity and you agree to comply with these Terms.
You are a legitimate business entity engaged in the pharmaceutical or related industries.
Your use of the Platform will not violate any applicable law, regulation, or international treaty.
You hold all necessary licenses, permits, and authorizations required to manufacture, distribute, sell, and advertise the Products you list on the Platform.
All Products you list comply with the quality, safety, and labeling standards of your jurisdiction and any target market jurisdiction.
You will not use the Platform for any illegal, fraudulent, or unauthorized purpose.

5. USER CONDUCT AND PROHIBITED ACTIVITIES

As a User of the Platform, you agree not to:

Systematically retrieve data or other content from the Platform to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
Use a buying agent or purchasing agent to make purchases on the Platform.
Use the Platform to advertise or offer to sell goods and services that are outside the scope of the pharmaceutical and medical B2B industry.
Circumvent, disable, or otherwise interfere with security-related features of the Platform.
Engage in unauthorized framing of or linking to the Platform.
Trick, defraud, or mislead us and other Users, especially in any attempt to learn sensitive account information such as user passwords.
Make improper use of our support services or submit false reports of abuse or misconduct.
Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.
Interfere with, disrupt, or create an undue burden on the Platform or the networks or services connected to the Platform.
Attempt to impersonate another User or person or use the username of another User.
Sell or otherwise transfer your profile or Account.
Use any information obtained from the Platform in order to harass, abuse, or harm another person.
Use the Platform as part of any effort to compete with us or otherwise use the Platform and/or the Content for any revenue-generating endeavor or commercial enterprise not expressly permitted.
Decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Platform.
Attempt to bypass any measures of the Platform designed to prevent or restrict access to the Platform, or any portion of the Platform.
Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Services to you.
Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material that interferes with any party’s uninterrupted use and enjoyment of the Platform.
Upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism (e.g., gifs, 1x1 pixels, web bugs).
Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Platform.
Violate any applicable laws or regulations, including but not limited to those governing export control, intellectual property, and the sale of regulated pharmaceutical products.

6. USER-GENERATED CONTENT (UGC)

The Platform allows you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("User-Generated Content" or "UGC"). You are solely responsible for the UGC that you post on or through the Platform, including its legality, reliability, and appropriateness.

6.1 Prohibited UGC

You agree not to post UGC that:

Is false, misleading, deceptive, or fraudulent.
Infringes upon any third party's intellectual property rights, including copyright, patent, trademark, trade secret, or other proprietary rights.
Promotes or lists counterfeit, illegal, or stolen Products.
Lists prescription drugs or controlled substances without clear evidence of proper licensing and only for sale to other licensed entities in jurisdictions where such B2B trade is legal.
Makes unproven or illegal medical claims about a Product's efficacy.
Violates any applicable law, statute, ordinance, or regulation (including, but not limited to, those governing export control, consumer protection, unfair competition, anti-discrimination, or false advertising).
Is defamatory, libelous, threatening, or harassing.
Is obscene, contains or depicts pornography, or is otherwise adult in nature.
Contains any computer viruses, worms, or other potentially damaging computer programs or files.
Creates liability for us or causes us to lose (in whole or in part) the services of our ISPs or other suppliers.

6.2 Monitoring and Enforcement

We do not undertake to review all UGC before it is posted on the Platform and cannot ensure prompt removal of objectionable material after it has been posted. However, we reserve the right, but not the obligation, to:

Monitor the Platform for violations of these Terms.
Take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms.
In our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your UGC or any portion thereof.
In our sole discretion and without limitation, notice, or liability, to remove from the Platform or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems.
Otherwise manage the Platform in a manner designed to protect our rights and property and to facilitate the proper functioning of the Platform.

7. CONTENT LICENSE GRANT

You retain all of your ownership rights in your UGC. However, by submitting UGC to the Platform, you grant Minyatech Co., Ltd. a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, host, store, cache, reproduce, publish, display (publicly or otherwise), perform (publicly or otherwise), distribute, transmit, modify, and adapt (including, without limitation, in order to conform it to the requirements of any networks, devices, services, or media through which the Services are available) such UGC.

This license is for the limited purpose of operating, promoting, and improving the Platform and our Services, and to develop new ones. This license continues even if you stop using our Services. You represent and warrant that you have all the rights, power, and authority necessary to grant the rights granted herein to any UGC that you submit.

8. PLATFORM INTELLECTUAL PROPERTY RIGHTS

Excluding your UGC, all other aspects of the Platform are the exclusive property of Minyatech Co., Ltd. and its licensors. This includes, but is not limited to, the name "Medicine Platform," our logo, and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Platform (collectively, the "Platform Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

The Platform Content and the Marks are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of Hong Kong, foreign jurisdictions, and international conventions. The Platform Content and the Marks are provided on the Platform "AS IS" for your information and personal use only. Except as expressly provided in these Terms, no part of the Platform and no Platform Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

9. PAID SERVICES: ADVERTISING AND PROMOTED LISTINGS

We offer optional Paid Services to enhance a User's visibility on the Platform.

9.1 Description

Paid Services may include, but are not limited to:

Display Advertising: Banners and other ad formats placed in designated areas of the Platform.
Promoted Listings (Bidding/竞价排名): A system where Sellers can pay a fee or bid against other Sellers to have their product listings featured more prominently in search results or on specific pages.

9.2 Payment

You agree to pay all fees or charges to your account for Paid Services in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. All payments shall be made in the currency specified at the time of purchase. You must provide a valid payment method. We may use a third-party payment processor to bill you through a payment account linked to your Account. The processing of payments will be subject to the terms, conditions, and privacy policies of the payment processor in addition to this Agreement.

9.3 No Refunds

All payments for Paid Services are final and non-refundable, except as required by law or as otherwise determined by us in our sole discretion.

9.4 Disclaimer of Results

We do not guarantee any specific results from the use of Paid Services. Purchasing a Promoted Listing or advertisement does not guarantee that you will receive inquiries, make sales, or achieve any particular business outcome. The effectiveness of Paid Services can be influenced by many factors outside of our control, including market conditions, product quality, pricing, and the content of your listing.

10. PLATFORM AS A NEUTRAL VENUE

You expressly acknowledge and agree that Medicine Platform is solely a neutral B2B venue and is not a party to any transaction or agreement made between Users. We do not:

Endorse, vet, or certify any User, company, or Product.
Act as an agent, broker, or fiduciary for any User.
Inspect, guarantee, or take custody of any Products listed.
Mediate or resolve disputes between Users (unless as a courtesy, without assuming any legal obligation).
Guarantee the quality, safety, legality, or authenticity of any Product.
Guarantee the accuracy or truthfulness of any UGC, including product descriptions or company profiles.
Guarantee the ability of Sellers to sell Products or the ability of buyers to pay for them.

You are solely responsible for conducting your own due diligence on any User or Product you find on the Platform. We strongly recommend that you use the Platform to find potential business partners but conduct all verifications, negotiations, and transactions offline or through secure, independent channels. You assume all risks associated with dealing with other Users with whom you come in contact through the Platform.

11. THIRD-PARTY WEBSITES AND CONTENT

The Platform may contain links to other websites ("Third-Party Websites") as well as articles, photographs, text, graphics, and other content or items belonging to or originating from third parties ("Third-Party Content"). Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third-Party Websites accessed through the Platform or any Third-Party Content posted on, available through, or installed from the Platform. Inclusion of, linking to, or permitting the use or installation of any Third-Party Websites or any Third-Party Content does not imply approval or endorsement thereof by us.

12. PRIVACY POLICY

We care about data privacy and security. Please review our Privacy Policy, which is posted on the Platform. By using the Platform, you agree to be bound by our Privacy Policy, which is incorporated into these Terms. The Platform is hosted globally, but our Company is registered in Hong Kong. If you access the Platform from any other region of the world with laws or other requirements governing personal data collection, use, or disclosure that differ from applicable laws in Hong Kong, then through your continued use of the Platform, you are transferring your data to our servers, and you expressly consent to have your data transferred to and processed in accordance with our Privacy Policy and Hong Kong law.

13. TERM AND TERMINATION

This Agreement shall remain in full force and effect while you use the Platform.

WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE PLATFORM (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS OR OF ANY APPLICABLE LAW OR REGULATION.

We may terminate your use or participation in the Platform or delete your Account and any content or information that you posted at any time, without warning, in our sole discretion.

If we terminate or suspend your Account for any reason, you are prohibited from registering and creating a new Account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your Account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

14. DISCLAIMER OF WARRANTIES

THE PLATFORM AND THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE PLATFORM AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE PLATFORM AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF THE PLATFORM'S CONTENT, ANY USER-GENERATED CONTENT, OR THE CONTENT OF ANY WEBSITES LINKED TO THE PLATFORM.

WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY (INCLUDING ANY USER) THROUGH THE PLATFORM. WE WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND OTHER USERS. AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.

15. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MINYATECH CO., LTD., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM;
ANY CONDUCT OR CONTENT OF ANY THIRD PARTY (INCLUDING OTHER USERS) ON THE PLATFORM;
ANY CONTENT OBTAINED FROM THE PLATFORM;
UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;
ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR PLATFORM BY ANY THIRD PARTY;
ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE PLATFORM; AND/OR
THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE GREATER OF (1) THE AMOUNT OF FEES, IF ANY, PAID BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING, OR (2) ONE HUNDRED HONG KONG DOLLARS (HKD 100.00).

16. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Minyatech Co., Ltd., its subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your User-Generated Content; (2) your use of the Platform; (3) your breach of these Terms; (4) any breach of your representations and warranties set forth in these Terms; (5) your violation of the rights of a third party, including but not limited to intellectual property rights; or (6) any overt harmful act toward any other user of the Platform with whom you connected via the Platform.

Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims.

17. GOVERNING LAW AND JURISDICTION

These Terms and your use of the Platform are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China, without regard to its conflict of law principles.

18. DISPUTE RESOLUTION

18.1 Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms (each a "Dispute" and collectively, the "Disputes"), you and the Company agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one party to the other. You may send your notice to our contact email.

18.2 Binding Arbitration

If the parties are unable to resolve a Dispute through informal negotiations, the Dispute will be finally and exclusively resolved by binding arbitration. The arbitration shall be administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The law of this arbitration clause shall be Hong Kong law. The seat of arbitration shall be Hong Kong. The number of arbitrators shall be one. The arbitration proceedings shall be conducted in English.

18.3 Restrictions

The parties agree that any arbitration shall be limited to the Dispute between the parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

19. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Platform at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of the Services without notice at any time.

We cannot guarantee the Platform and Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Platform, resulting in interruptions, delays, or errors. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Platform or the Services.

20. GENERAL PROVISIONS

Entire Agreement: These Terms of Service and any policies or operating rules posted by us on the Platform constitute the entire agreement and understanding between you and us.
Waiver: Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.
Severability: If any provision or part of a provision of these Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions.
Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign any or all of our rights and obligations to others at any time.
No Partnership: No joint venture, partnership, employment, or agency relationship exists between you and us as a result of these Terms or use of the Platform.
Force Majeure: We shall not be liable for any failure or delay in performance under these Terms for causes beyond our reasonable control and occurring without our fault or negligence, including, but not limited to, acts of God, acts of government, flood, fire, civil unrest, acts of terror, strikes or other labor problems, or computer or telecommunications failures.
